Wax the surface around the outside of the hole with an automotive paste wax. Cut a sheet of countertop material that's a foot longer and wider than the hole, and paste-wax one side. Spray the paste-waxed side with mold-release spray (polyvinyl alcohol) and duct tape it over the hole, with the waxed side to the deck.
Closely space ribs can replace the much thicker plywood of the previous hatch. Cover this with a 1/8" or 1/4" foam pad, then vinyl over that, stapling to the plywood underneath. Of course you'll want to install sound proofing and heat insulation, both available at marine stores like West Marine (bring you first born, they may ask).

I had 3 cushions for a sundeck. Replaced one with a carpet-covered wood box. Then had one of the seats below cut in half and built a matching box below. The result is a "walkway" to climb into the boat. I was thinking about a nice one peice sunpad but this was more functional and a lot easier.
You have a couple different options, you can either use a reg ply wood and apply a wood sealer like Thompsons. Apply it few times before you cover it. Use marine grade plywood which already has a preservative impregnated into the wood.
